Terms of Service for Xiqper

  1. Introduction
     By accessing or using the services provided by Xiqper Inc. (“Xiqper,” “we,” “us,” or “our”), including domain registration and web hosting services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services.

     

  2. Eligibility
     You must be at least eighteen (18) years old and capable of entering into a legally binding agreement to use the Services. By registering for and using the Services, you represent and warrant that you meet these requirements.

     

  3. Definitions
     “Account” means your individual user account through which you access and manage Services.
     “Customer,” “you,” or “your” refers to the person or entity who purchases the Services.

     

  4. Domain Registration Services
     4.1 Registration and Renewal. You may register domain names through Xiqper via our authorized registrars. Domain registrations are subject to the policies of the relevant registry and registrar.
     4.2 Transfer. Domain transfers in or out of Xiqper are governed by ICANN regulations and applicable registry policies.
     4.3 Ownership. You retain ownership of domains you register. Xiqper acts solely as your agent in registering and managing domains.

     

  5. Hosting Services
     5.1 Service Levels. Xiqper will provide hosting services in accordance with our published Service Level Agreement (SLA).
     5.2 Resource Usage. You agree to use hosting resources in compliance with our Acceptable Use Policy.
     5.3 Backups. Xiqper may perform periodic backups. You are responsible for maintaining your own backups of all data.

     

  6. Payment and Fees
     6.1 Fees. You agree to pay all fees associated with the Services at the rates in effect at the time of purchase.
     6.2 Billing Cycle. Unless otherwise specified, Services renew automatically on a monthly or annual basis, as selected during purchase.
     6.3 Late Payments. Failure to pay when due may result in suspension or termination of Services.

     

  7. Cancellation and Refunds
     7.1 Cancellation. You may cancel any Service at any time through your Account dashboard. Cancellation requests take effect at the end of the current billing period.
     7.2 Refunds. Refund eligibility and amounts are governed by our Refund Policy, available at https://www.xiqper.com/refund-policy.

     

  8. Customer Obligations
     8.1 Accurate Information. You must provide accurate and complete information during registration and maintain up-to-date contact details.
     8.2 Lawful Use. You agree not to use the Services for illegal activities, infringements, or to violate any applicable laws or third-party rights.

     

  9. Intellectual Property
     9.1 Ownership. Xiqper and its licensors retain all rights, title, and interest in and to the Services, trademarks, and proprietary technology.
     9.2 Your Content. You retain ownership of all content you upload or publish using the Services. You grant Xiqper a worldwide, royalty-free license to use your content solely to provide the Services.

     

  10. Privacy
     Your use of the Services is subject to our Privacy Policy, available at https://www.xiqper.com/privacy-policy, which is incorporated herein by reference.

     

  11. Disclaimers and Warranties
     THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. XIQPER DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

     

  12. Limitation of Liability
     TO THE MAXIMUM EXTENT PERMITTED BY LAW, XIQPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. XIQPER’S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE AFFECTED SERVICES IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

     

  13. Indemnification
     You agree to indemnify and hold harmless Xiqper and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your breach of these Terms or your use of the Services.

     

  14. Modifications to Terms
     Xiqper may modify these Terms at any time. We will notify you of material changes by email or via the dashboard. Continued use of the Services after changes constitute acceptance of the revised Terms.

     

  15. Termination
     Xiqper may suspend or terminate your Account and access to the Services if you violate these Terms or applicable laws. Upon termination, your right to use the Services ceases, but accrued payment obligations survive.

     

  16. Governing Law and Dispute Resolution
     These Terms and any disputes arising hereunder are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will be resolved in the courts of Toronto, Ontario.
